These Terms of Service ("ToS") constitute a legally binding agreement between you ("Client," "User," or "You") and IOK Servers, a company organized under the laws of the United States, with its principal place of business at 1341 Warren Ave, Downers Grove, Illinois ("Provider," "We," "Us," or "Our"). These ToS govern your use of our Virtual Private Server (VPS) hosting services (the "Services").

By accessing or using any part of the Services, you agree to be bound by these ToS. If you do not agree to all the terms and conditions of this agreement, then you may not access the Services.

1. Service Description

IOK Servers provides unmanaged and/or managed Virtual Private Server (VPS) hosting services. Our Services allow Clients to lease virtualized server instances with dedicated resources (CPU, RAM, Storage) and operating system access. Clients are responsible for the management and content of their VPS, unless explicitly stated otherwise in a managed service agreement.

2. Account Registration and Eligibility

2.1. To access our Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.2. You must be at least 18 years of age to use our Services. By registering, you confirm that you meet this age requirement.

2.3. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Acceptable Use Policy (AUP)

3.1. You agree to use the Services only for lawful purposes and in accordance with this ToS and our Acceptable Use Policy (AUP), which is incorporated herein by reference and can be found here.

3.2. Prohibited activities include, but are not limited to: a. Hosting or transmitting illegal content (e.g., child pornography, copyrighted material without permission). b. Engaging in denial-of-service (DoS) attacks, brute-force attacks, or any activity that disrupts our network or other services. c. Sending unsolicited bulk email (spam). d. Running IRC bots, camfrog, or similar programs that consume excessive resources. e. Mining cryptocurrencies that cause excessive CPU/GPU load. f. Phishing, fraud, or any deceptive practices. g. Hosting malicious software (malware, viruses). h. Engaging in any activity that violates the privacy or security of others. i. Operating an open proxy or anonymous VPN service that can be abused for illegal activities. j. Any activity deemed abusive or disruptive by IOK Servers in its sole discretion.

3.3. Violation of the AUP may result in immediate suspension or termination of your Services without refund.

4. Service Level Agreement (SLA)

4.1. IOK Servers strives to provide a high level of service availability. Our Service Level Agreement (SLA) outlines our commitments regarding uptime and performance. The SLA is incorporated herein by reference and can be found here (Unavailable at the moment).

4.2. In the event of an SLA breach, remedies will be limited to service credits as defined in the SLA.

5. Billing and Payments

5.1. You agree to pay all fees for the Services you select in advance according to the billing cycle chosen (e.g., monthly, quarterly, annually).

5.2. All payments are non-refundable, unless otherwise stated in writing or explicitly required by applicable law.

5.3. If payment is not received by the due date, your Service may be suspended. If payment is not received within 7 days of the suspension, your Service may be terminated, and all data associated with it may be permanently deleted.

5.4. We reserve the right to change our prices at any time upon prior notice to you. Such notice may be provided through our website, client area, or email.

6. Data Backup and Loss

6.1. You are solely responsible for backing up your data hosted on our VPS. While we may perform internal backups for disaster recovery purposes, these are not guaranteed for individual client restoration.

6.2. IOK Servers is not responsible for any data loss or corruption.

7. Termination

7.1. Termination by Client: You may terminate your Services at any time through your client area. No refunds will be issued for remaining service periods.

7.2. Termination by Provider: We may terminate your Services immediately without prior notice if you breach any provision of these ToS, including but not limited to the AUP, or if we determine, in our sole discretion, that your use of the Services poses a security risk or threatens the integrity of our network.

7.3. Upon termination, all your data on the VPS will be permanently deleted after a reasonable grace period (e.g., 24-48 hours) to ensure proper resource reclamation.

8. Disclaimer of Warranties

8.1. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2. IOK SERVERS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

9.1. IN NO EVENT SHALL IOK SERVERS, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

9.2. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TOS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

10.1 You agree to indemnify, defend, and hold harmless IOK Servers and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these ToS, or your infringement of any intellectual property or other right of any person or entity.

11. Governing Law and Dispute Resolution

11.1. These ToS shall be governed by and construed in accordance with the laws of Illinois without regard to its conflict of law principles.

11.2. Any dispute arising out of or relating to these ToS or the Services shall be resolved exclusively in the state or federal courts located in Illinois. You hereby consent to the personal jurisdiction of such courts.

12. Changes to Terms of Service

12.1 We reserve the right, at our sole discretion, to modify or replace these ToS at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

13. Severability

13.1 If any provision of these ToS is held to be invalid or unenforceable by a court, the remaining provisions of these ToS will remain in effect.

14. Entire Agreement

14.1 These ToS, together with our AUP and SLA, constitute the entire agreement between you and IOK Servers regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
